GENERAL PROVISIONS

These Rules (hereinafter referred to as Rules) concludes an agreement between MB Pinigų klubas, legal entity code 302509629, registered office address Linkmenų g. 19-123, 08217 Vilnius, Lithuania (hereinafter referred to as - Seller) and you, whereby the Seller will give you the opportunity to purchase from the http://www.verslopradzia.lt/ online shop (hereinafter referred to as E-shop) offering digital content, such as e-books or other publications, seminars, training or other content accessed or downloaded via the internet ( Content) or services provided by the Seller, such as consultations or training during individual or group meetings (hereinafter referred to as Services) or electronic gift vouchers for payment in the E-Shop (hereinafter referred to as Gift vouchers) (collectively referred to as Products).

You have the right to make purchases from the E-Shop only if you are able to enter into a binding contract with the Seller under applicable law and only if you comply with these Terms and Conditions and applicable law. If you are under 18 years of age, you may only make purchases in the E-Shop with the consent of your parents or other legal representatives. When placing an order for Products on the E-Shop ("the Order from), you confirm that you are 18 years of age or older or have the consent of your parents or other legal representatives.

If the Content and Services are not intended to meet your consumer needs and you are purchasing them for the purposes of your (existing or planned) business, trade, craft or profession, you will not be subject to consumer protection legislation. The provisions of these Terms and Conditions which are intended for consumers will only apply if you are purchasing from the E-Shop as a consumer, unless you and the Seller agree otherwise.

BUYING IN THE E-SHOP

When you visit the E-Store and select a Product, a basket is formed on the basis of such selection (hereinafter referred to as "the basket"). Cart).

Once you have created your Basket, you must enter the details necessary to submit the selected Product. Please make sure that the details you have provided are correct and that the contents of the Basket match your preferences. You have the opportunity to correct errors, if any, before confirming your Order. You agree that by placing an Order in the E-Shop, you are obliged to pay the Seller the price stated in the Order. The price on the E-Shop and in the Order is inclusive of all taxes. The prices on the E-Shop and in the Order are quoted in Euros.

Payment must be made immediately after the Order is placed.

Once you have confirmed an Order, the Seller receives all information about it. The Order shall be deemed to have been placed from the moment it is received by the Seller. At the same time, a contract shall be deemed to have been concluded between you and the Seller. However, the Seller shall only be bound by such contract from the moment the Seller receives confirmation from the payment service provider of payment of the Order.

Once you have placed an Order, an email will be sent to the email address you have provided, containing the contents of the Order and the details you have provided.

The Seller shall be obliged to fulfil your Order upon receipt of notification that you have made payment for your Order. The Products shall be made available in the manner and in the order specified in the Product descriptions or elsewhere on the E-Store Website.

PRODUCT CHARACTERISTICS AND QUALITY

The features of the Products are indicated in the E-shop under the description of each Product. The Seller shall endeavour to ensure that the Products comply with the requirements set out by law.

The Seller undertakes to provide a Product that corresponds to the information specified in the Product description on the E-Shop.

Products may be made available through services provided by third parties. The Seller will take all steps within its reasonable control to ensure that the services provided by such third parties are provided properly and do not interfere with the provision of the Product, but the Seller shall not be liable for the acts or omissions of such third parties. If the Product cannot be delivered to a satisfactory standard for reasons beyond the control of third parties, the Seller will offer remedies to remedy the defects.

USE OF THE PRODUCT

By purchasing Content or Services, you acquire the right (license) to use the Content or materials from the Services, subject to the essential terms and conditions to which you agree to be bound:

• For personal use only.
• For your sole use, you may not copy, transfer (whether or not for consideration) or otherwise grant any right to any other person to use (or any part of) it (or any part of it) (whether or not for consideration).
• You may not modify, alter, translate, rework or create derivative works from them.
• The rights granted to you are non-exclusive, i.e., the Content or Service Materials may be used by the Vendor and others.
• You may use the amount of time specified in the description of the Content or Services.

Where the Services are provided to more than one person (e.g. group meetings with multiple participants), you must ensure that you do not infringe the rights or legitimate interests of others, including the right to image and privacy (e.g. by not video and/or audio recording, otherwise capturing video or participant data, ensuring confidentiality of the participants), and dignity and honour (e.g. by not offending other persons).

If you do not use the Product within the specified period, the contract between the Seller and you shall be deemed to have been duly performed unless otherwise agreed with the Seller.

GIFT COUPONS

Gift vouchers are valid for the period of time indicated on the voucher. The recipient of the Gift Voucher must use the Gift Voucher in the E-shop, i.e. use the Gift Voucher to pay for the Products offered in the E-shop, within the time period specified in the Gift Voucher. Failure to use the Gift Voucher within the time period specified therein shall not extend the time period specified therein, the Gift Voucher shall be void and the money paid for the Gift Voucher shall not be refunded.

INTELLECTUAL PROPERTY

By using the E-Store, you understand and acknowledge that: (a) all intellectual property rights in the Products and individual parts thereof; (b) all trademarks or other marks identifying the Products; (c) all trademarks and logos used in the E-Store, the domain name, the E-Store itself and the website on which it is hosted, or websites or services designed to provide the Products; (d) all individual elements thereof, including text, photographs, drawings and all materials; (e) the presentation, image and design of any page of the E-Shop or website; and (f) all intellectual property rights therein belong exclusively to the Seller and/or others. You undertake not to copy, modify or otherwise use these intellectual property items without the express written consent of the Seller or other rights holder.

POSSIBILITY TO WITHDRAW FROM THE CONTRACT

If you are purchasing from the E-Shop as a consumer (i.e. a natural person acting in the course of his/her business, trade, craft or profession for purposes other than his/her own business, trade, craft or profession (i.e. for consumer purposes)), you shall have the right to withdraw from the Contract within a period of fourteen (14) calendar days, in the following cases and under the conditions:

• If you purchase Services in the E-Shop, the right of withdrawal shall only apply until the Services have been provided, and the 14 (fourteen) day period shall commence from the date on which the Order is placed with the Vendor.
• If you purchase a Gift Voucher in the E-shop, the right of withdrawal is only valid as long as the Gift Voucher has not yet been used, and the 14 (fourteen) day period starts from the day you received the Gift Voucher. In this case, you must permanently delete the Gift Voucher and its data when withdrawing from the contract.

To exercise your right of withdrawal, you must notify the Seller by email within the specified time limit and attach proof of purchase.

If you withdraw from the Contract, the Seller undertakes to refund any money paid by you for the Product to the bank account specified by you within 14 (fourteen) calendar days of the date on which you notify the Seller of your withdrawal by email.

By making a purchase on the E-Shop, you confirm that you agree to the launch of the Content or the provision of the Services before the expiry of the 14 (fourteen) day period and acknowledge that you will lose the right to withdraw from the contract.

RESPONSIBILITY

The Seller's liability for the quality of the Products is governed by applicable law.

You must provide the Seller with all correct and complete information requested and comply with the requirements of these Terms.

You are responsible for the security of your username, password or any other data that allows you to log in to the E-Shop and use the Products. However, if you become aware of any unauthorised use of your username and password, please contact the Seller immediately.

AMENDMENTS AND TERMINATION

The Seller may amend these Terms from time to time. The latest (current) version of the Terms and Conditions will always be visible and accessible in the E-Shop. Before confirming your Order, you must familiarise yourself with the then current version of the Terms and Conditions. The version of the Terms in force at the time of confirmation of such Order will apply to each Order.

The Seller will have the right to discontinue (terminate) the E-Shop at any time. Such termination shall not affect any Product Purchase Agreements or Gift Vouchers which are then in force and which have not expired.

OTHER CONDITIONS

These Terms and Conditions and any contract of sale and purchase concluded in the E-Shop are concluded and shall be interpreted in accordance with the laws of the Republic of Lithuania.

Any disputes, disagreements or claims arising out of or in connection with these Terms and Conditions or any separate contract of sale or purchase, as well as questions of breach, termination or validity thereof, shall be settled in the courts of the Republic of Lithuania in accordance with the procedure established by the laws of the Republic of Lithuania. All warnings or other notices relating to the E-Shop and these Terms and Conditions will be given by email (when sent to the Seller, to the email address specified at the beginning of these Terms and Conditions, and when sent to you, to the email address provided at the time of Ordering).

If any provision of these Rules is or becomes wholly or partially invalid, the validity of the remaining provisions shall not be affected.
